Terms and Conditions

Welcome to NileCrest. These Terms and Conditions (“Terms”) govern the relationship between NileCrest (“we,” “us,” “our”) and any business, importer, distributor, or wholesale buyer (“Buyer,” “you”) engaging with us through this website or through direct commercial correspondence. By requesting a quote, placing an order, or otherwise engaging with NileCrest, you agree to these Terms.

These Terms apply to business-to-business (B2B) transactions only. NileCrest does not sell directly to individual consumers through this website.

1. Company Information

NileCrest is an Egyptian export company specializing in premium fresh and frozen food products — rooted in Egypt’s finest farmlands. From the fertile Nile Valley and Delta, one of the world’s oldest and most productive agricultural regions, we supply importers, wholesalers, distribution chains, and food manufacturers across Europe, the Gulf, and Africa.

2. Scope of Business

NileCrest exports agricultural and food products — including fresh produce, IQF (Individually Quick Frozen) fruit and vegetables, dates, pasta, and tomato products — to business buyers internationally. Product availability, specifications, and pricing vary by market and season and are confirmed on a per-order basis via written quotation or proforma invoice.

3. Quotations and Orders

  • All prices quoted are indicative until confirmed in a formal quotation or proforma invoice.
  • Orders are considered confirmed only once both parties have agreed in writing on: product specification, quantity, price, Incoterms® (e.g., FOB, CIF, CFR, as applicable), payment terms, and delivery timeline.
  • Minimum order quantities may apply per product and are confirmed at the time of quotation (typically container-based for export shipments).

4. Pricing and Payment

  • Prices are quoted in USD unless the proforma invoice states otherwise.
  • Each order’s payment method and schedule are set out in its proforma invoice. Accepted methods may include advance bank transfer, letter of credit, or payment against shipping documents.
  • Each party covers the charges of its own bank. NileCrest is not responsible for fees deducted by the Buyer’s bank or any intermediary bank.

5. Shipping and Delivery

  • Shipping terms follow Incoterms® 2020 as specified in each order confirmation.
  • Estimated lead times are provided in good faith based on standard shipping routes and are subject to factors outside NileCrest’s control, including but not limited to customs clearance, port congestion, weather, and carrier availability.
  • Title and risk transfer in accordance with the agreed Incoterm for each shipment.

6. Product Quality and Inspection

  • NileCrest sources and inspects products in accordance with the practices outlined in our Quality & Sourcing Policy.
  • Buyers are encouraged to specify any additional inspection or documentation requirements (e.g., third-party pre-shipment inspection) at the time of order confirmation.
  • Any shortage in quantity or visible damage to packaging must be noted on the delivery/receiving documents at the time of unloading.
  • For fresh produce: written quality claims, accompanied by supporting documentation (e.g., inspection report, photos), must be submitted within 3 business days of arrival at the destination port or warehouse, reflecting the fast-moving nature of fresh product.
  • For IQF frozen products, dates, pasta, and tomato products: written quality claims, accompanied by supporting documentation, must be submitted within 14 days of arrival at the destination port or warehouse.
  • Claims submitted after these windows will not be accepted, except where the defect could not reasonably have been discovered within the applicable period.

7. Force Majeure

NileCrest shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to natural disasters, war, civil unrest, government action, port closures, or disruptions to shipping or logistics networks.

8. Limitation of Liability

To the extent permitted by applicable law, NileCrest’s liability for any claim arising from an order shall not exceed the value of the affected shipment. NileCrest shall not be liable for indirect, incidental, or consequential damages, including loss of profit or business opportunity.

9. Intellectual Property

All content on this website — including text, images, logos, and branding — is the property of NileCrest and may not be reproduced or used without prior written permission.

10. Confidentiality

Both parties agree to treat commercial terms, pricing, and any proprietary information shared during the course of business as confidential, and not to disclose such information to third parties without prior written consent, except as required by law.

11. Governing Law and Dispute Resolution

These Terms, and any order or contract of sale concluded under them, are governed by the United Nations Convention on Contracts for the International Sale of Goods (CISG), to the extent applicable. For any matter not covered by the CISG, the laws of the Arab Republic of Egypt shall apply as a supplementary reference.

Any disputes arising from these Terms or any related order shall first be addressed through good-faith negotiation between the parties. Failing resolution within 30 days of written notice of the dispute, the dispute shall be referred to and finally resolved by arbitration under the Rules of the Cairo Regional Centre for International Commercial Arbitration (CRCICA), by a sole arbitrator appointed in accordance with those Rules. The seat of arbitration shall be Cairo, Egypt, and the language of arbitration shall be English.

12. Changes to These Terms

NileCrest reserves the right to update these Terms at any time. Changes will be reflected on this page with an updated “Last updated” date. Continued engagement with NileCrest after changes are posted constitutes acceptance of the updated Terms.
